Hefesto Asesores advised on the divestment by GC Capital in the divestment of Pinion Education.

  • The divestment translates into a liquidity event for the Mexican venture capital fund.

Mexico City, September 30, 2024. The Hefesto Asesores team advised the Mexican venture capital fund, GC Capital Fund I, in the negotiation, structuring and implementation of the divestment of its stake in Pinion Global Education through the sale of such stake to a strategic participant. The transaction was completed after several months of negotiation and structuring and represents an 8-figure return for the Mexican fund.

This divestment constitutes a new liquidity event for the GC Capital Fund I portfolio in favor of its investors, consolidating the Mexican fund’s streak of sophisticated and successful divestments in a complex environment of declining interest rates and a possible resurgence of the investment cycle of this asset class.

The Hefesto Asesores team was led by Federico Vázquez as Managing Partner, with Ariadna León as associate and Celeste Vera as intern. The firms PDLC and Jauregui y del Valle acted as legal advisors to Pinion Global, Santamarina y Steta acted as legal advisors to the acquirer and FGA acted as structuring investment banking firm.

Pinion Global is a company that helps schools transform and evolve into institutions that give their students the basic tools to be happy and successful in their future careers through the use of technology.

“For Hefesto Asesores, it is always a pleasure to participate in transactions that generate value for our clients and that, additionally, represent a challenge for all involved. We congratulate GC Capital for another successful divestment,” commented Federico Vázquez.

The fund’s management team commented, “What an amazing journey it has been, side by side with these spectacular partners, today we sold our company Pinion Education. We are very grateful with all of our stockholders, partners, clients, providers, but specially the people that work every day to make this company an iconic Edtech leader.”

Hefesto Asesores continues to consolidate its position as a relevant participant in the alternative assets market in Mexico.
